Zevero Platform Code of Conduct

This Zevero Platform Code of Conduct (the “Code”) sets forth the obligations for individuals or entities (hereafter referred to as the “Client”) using the services provided by the Company’s online cloud-based platform for environmental impact visualisation (“Services”). By accessing and using the Services, the Client acknowledges and agrees, and where applicable shall procure that its Authorised Users acknowledge and agree, to comply with this Code, which forms an essential part of the Agreement between the Company and the Client. Capitalised terms not defined in this Code are defined as per the Terms of Use published on the Company’s website that is applicable to each Client.
For the avoidance of doubt, references herein to the “Client” being required to observe an obligation shall, as applicable, be read as a requirement for an “Authorised User” to observe such an obligation also.
Clients must comply with these standards in spirit as well as to the letter. The Company will determine in its sole discretion whether a Client’s use of the Service breaches this Code of Conduct.

1. Acceptable Use

1.1. The Client must ensure that their use of the Services adheres to all pertinent local, national, and international laws and regulations including but not limited to environmental regulations, as well as this Code.

1.2. The Client does not engage in activities or use the Services in any way that:

a) Promotes or constitutes illegal, fraudulent, or unethical conduct;

b) Infringes upon the rights of others, including the privacy and the Intellectual Property Rights of others (as described in Clause 4);

c) Harms or attempts to harm minors in any way;

d) Bullies, insults, intimidates, or humiliates any person;

e) Involves sending, knowingly receiving, uploading, downloading, sharing, posting, using or re-using any material which does not comply with reasonable content standards;

f) Involves transmission, or procuring the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);

g) Knowingly transmits any data, sends, or uploads any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;

h) Publishes, displays, or otherwise disseminates any Deliverables that the Client knows or reasonably should know to be based on false, inaccurate, or misleading, Input Data where such Deliverable is presented in a manner that references or attributes credit to the Company or its Platform;

i) Publishes, displays, or otherwise disseminates any Deliverables in such a way that the Client knows or reasonably should know would create an impression regarding the Client’s green credentials that is false, inaccurate, or misleading;

j) Breaches Data Protection Laws; or

k) Compromises the security, functionality, or integrity of the Services, or other users.

2. Input Data

2.1. The Client represents and warrants that any Input Data it submits will:

a) be accurate (where it states facts).

b) only contain opinions and information that are genuinely held to be true; and

c) comply with the law applicable in any country from which it is posted and/or to which the Service is targeted.

2.2. The Client represents and warrants that any Input Data it submits will not:

a) Be defamatory of any person;

b) Be obscene, offensive, hateful or inflammatory;

c) Infringe any Intellectual Property Rights of any other person;

d) Be likely to deceive the Company or any person;

e) Breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence;

f) Contain illegal content or promote any illegal content or activity;

g) Be in contempt of court;

h) Be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety;

i) Be likely to harass, upset, embarrass, alarm or annoy any other person;

j) Impersonate any person or misrepresent your identity or affiliation with any person;

k) Give the impression that the Input Data emanates from the Client, if this is not the case;

l) Advocate, promote, incite any party to commit, or assist any unlawful or criminal act such as (by way of example only) copyright infringement or computer misuse;

m) Contain a statement which the Client knows or believes, or has reasonable grounds for believing, that members of the public to whom the statement is, or is to be, published are likely to understand as a direct or indirect encouragement or other inducement to the commission, preparation or instigation of acts of terrorism;

n) Contain any personal data (which is any information relating to an identified or identifiable person) unless requested by, notified to and agreed with, the Company, or all necessary consents required under applicable law have been obtained; or

o) Be pornographic.

3. User Restrictions

3.1. Access to the Services is strictly limited to Authorised Users. The Client must use all reasonable endeavours to prevent unauthorised access by safeguarding Authorised Users’ ID and passwords and implementing robust security measures.

3.2. The Client is responsible for the security of their own systems and data when accessing the Services and should maintain appropriate security measures.

3.3. The Client must notify Company immediately  in the manner set forth in the applicable Service Agreement via [insert contact details] in case of any security breach or unauthorised access.

The Client must not allow third parties to use their Authorised Users’ IDs or passwords, nor transfer, lend, or share them in any manner. The Client is responsible for properly managing and safeguarding their Authorised Users’ IDs and passwords to prevent third-party use.

4. General Prohibitions on Intellectual Property Misuse

4.1. The Client shall not modify, translate, or create derivative works based on the Service (which, for the avoidance of doubt, shall include the Platform), the Company IP, or any provided the Intellectual Property Rights without the express written permission of the Company.

4.2. The Client agrees not to engage in reverse engineering, decompilation, or disassembly of the Service, the Company IP, or any provided Intellectual Property Rights.

4.3. The Client shall not rent, lease, distribute, or otherwise transfer rights to the Service, the Company IP, or any provided Intellectual Property Rights.

5. Prohibited Matters

In using the Service, the Client, either independently or through any third party, is strictly prohibited from directly or indirectly facilitating or engaging in any of the following acts:

a) Engaging in actions that are unlawful or linked to criminal activities.

b) Participating in activities or making statements that targets against the Company, other users, or third parties.

c) Participating in acts that disrupt public order or are considered immoral.

d) Violating the Company IP, any other Intellectual Property Rights, privacy rights, or any other rights of the Company, its users, or any third party.

e) Causing an excessive load on the network or systems of the Platform.

f) Gaining unauthorised access to the Company’s network or the Platform.

g) Impersonating any individual or entity.

h) Using the product keys or login credentials of another Authorised User without authorisation.

i) Conducting advertising, solicitation, or any commercial activities not previously authorised by the Company.

j) Collecting information about other Clients or Authorised Users without their express consent.

k) Performing actions that disadvantage, harm, or cause discomfort to the Company, its Clients, Authorised Users, or third parties.

l) Providing benefits to Antisocial Forces.

m) Using the Service to develop or provide aids (manuals, specifications) to competitors.

n) Engaging in other activities considered inappropriate by the Company, where the Client has been previously notified to cease such activities.

6. Cooperation and Enforcement

6.1. The Company reserves the right to investigate any suspected violations of the Code and, in the event of an investigation, the Client is required to cooperate fully, providing necessary access to systems, data and documentation to facilitate the investigation.

6.2. Where the Company in its sole discretion acting reasonably believes that the Client or its Authorised Users have acted in a way that violates or risks violating the Code, the Company may suspend or terminate the Client’s use of the Service.

6.3. The Client shall be liable for any damages incurred by the Company as a result of a breach of this Code.

7. Modification of the Code

The Company may update this Code from time to time to reflect changes in legal requirements, industry standards, or the Company policies. The Client is encouraged to regularly visit the Company’s website to check the latest Code, and continued use of the Services shall constitute acceptance of the revised Code.

8. Governing Law

This Code shall be governed by and construed in accordance with the law of England and Wales.
